The three accounts are essential for running the business. A BC corporation is required to create a company password for future access. The business must acquire a 9-digit business number from the CRA and report its income (including instances of zero income) using a corporate tax ID. We have provided the option for the customer to complete these filings either on their own or with our assistance.

CRA Accounts
The majority of companies in Canada must register with the federal government for a GST/HST account and charge GST/HST on taxable sales. To process the salary of the owner or salary of an employee, payroll account is required.

BC Provincial Filing
If you're based in B.C. and sell or rent taxable goods or taxable services, you need to register to collect PST.

A WSBC (WorkSafeBC) account is essential for businesses in British Columbia to comply with the Workers Compensation Act.

When you register a company in BC, it receives a corporation number. If you decide against naming your business, that number serves as its formal name—like 123456 BC Ltd. The primary benefit of a numbered company is that it bypasses the need for a BC name search and approval, thereby saving both time and money. On the flip side, the drawback is that it lacks a recognizable brand name for marketing, signage, or brand building.
What is a BC named company?
A BC named company is a business entity that is registered with an official corporate name (e.g. Paramount Fine Foods Ltd.). This corporate name is fundamental to the incorporation procedure, helping the company establish a unique presence in the market. The process of naming, which requires both time and financial resources, is regulated by the naming rules and guidelines of BC Registry Services. These regulations ensure that the name meets legal standards, prevents confusion in the market, and accurately represents the company's identity. What is a BC Company password?
A BC company password for BC Corporate Online is a security feature that allows you to access and handle company details, such as submitting documents. This password is separate from the BCeID, which is used for other BC government services. To view company information or file documents, you will require this password.
May I get support after incorporation?
Certainly! We offer three options for post-incorporation and maintenance: Annual Return Filing – We handle the submission of your yearly corporate return.

Obtaining a Name Request

BC Registry Services provides both standard and priority queues for name request reviews. A name in the standard queue is typically assessed within 7 to 15 business days, whereas requests in the priority queue are processed as quickly as possible, often on the same business day or the following day.

What is a name request?
Businesses and organizations must have their name approved and confirm that it's not already being used. The initial step in forming a named company is to secure a name request from BC Registry Services. If you haven't obtained this yet, BCO registry agent would be glad to assist you.
May I submit multiple names in one request?
You can submit up to three names in one request, which will be considered in the sequence given, but only if your first choice is not accepted. If all the names you submit are rejected and you still want a named company, you will need to submit a new name request with an extra fee. 
What are the name guidelines?
In assessing names, the Registrar’s staff analyze them according to their constituent components. The form of name acceptable in principle consists of a distinctive element, followed by a descriptive element and ending with a corporate designation. e.g. Paramount Fine Foods Ltd. Distinctive Element: Paramount Descriptive Element: Fine Foods Corporate Designation: Ltd.

The distinctive element serves to differentiate names having identical or similar descriptive elements, and for that reason, is the most important element to be examined in the name.

The descriptive element is useful in describing the nature of the business as well as expanding the options available.
Why need a corporate designation?
By law, every corporate name must include a legal ending. The government allows six options (like Inc., Ltd., or Corp.), all of which carry the same meaning. Choose the one that complements your business name best.
What are the benifits of a trade name?
a) This allows shorten the name for the purpose of advertisement, business signs and brand development.
b) We found, many business owners add it for the easiness of obtaining the municipal license or permit.
c) Registering a trade name creates an opportunity of geting a trade mark in future.

A corporation is required to have a physical registered office address in BC. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

What Are the Requirements for a Corporation’s Address?
  • The address must be a physical location within BC.

What Is an Address Service?
The Address Service is an annual mail-handling and document-scanning solution we offer to corporations that do not have a local physical address in Ontario. This service can be renewed yearly for a similar fee. Any government or corporation-related mail received on your behalf will be scanned and emailed directly to you.
How Can I Change My Address in the Future?
You can update your corporation’s registered address at any time by paying the applicable filing fee. Many businesses initially use a home or residential address during incorporation and update it later once they acquire a commercial or office location.

Can I Set a Future Incorporation Date?
Yes, you can choose a future date for incorporation. However, the selected date must be no earlier than today and no more than 30 days ahead.

The main activity refers to your business’s primary line of work. Please provide one activity, described in one or two words, so we can accurately match it with the options in the government’s classification system.

A director is the person chosen or designated to manage the company's administration, functioning as part of a group called the board of directors. Impact of adding additional director(s)
Each director has equal power and control over the corporation. The Second director can remove the primary director and vice versa. Therefore, you may add an additional director whom you trust.
Can I Add or Remove a Director Later?
Yes. At least one director must be listed at the time of incorporation. You can update the director information at any time in the future. If you opt for our Complete Maintenance package (available in the next steps), director changes can be made at no additional cost.
What Are the Requirements to Be a Director?
A director is responsible for overseeing the corporation's operations and has the authority to make administrative decisions, including appointing or removing other directors. To qualify as a director:

What is standard clause in the articles?
Standard clauses are used by default in the articles of incorporation for a wide range of standard businesses and everyday operations.
May I amend the articles?
Yes. The initial Articles of Incorporation are filed with the government when the corporation is registered. After incorporation, these articles can be modified by submitting the appropriate Articles of Amendment along with the required fees.
May I customize share classes?
In the next section, you will be asked to choose share classes.
What is company bylaws?
Corporate bylaws, alternatively known as company constitution, are the rules, rights, regulations and policies set by a corporation. The corporate bylaws, usually prepared by a corporate lawyer ensuring no rules or clause conflicts the Provincial Corporations Act or Canada Business Corporations Act (CBCA).
What is corporate minutes?
A Corporate Minutes is the collection of corporate records (including the articles of incorporation) to provide to anyone who inspect the record or at the time of auditing. Corporate Bylaws and Minutes may also be required by certain banks to open an account.
Benefits of doing all in one package
Yes, the expense is tax creditable. When you incorporate a company, the expenses are called business development expenses which are tax creditable. Any spending you do after incorporation is considered as operating expenses which are not tax creditable. Additionally, doing it separately later is a manual process that involves a corporate lawyer, which causes significant increase in cost and time (and not tax creditable).

What is share and why need it?
Since a corporation is a separate legal entity than its owners, it could owned only by owning its shares. The corporation's assets and stocks are go split into pieces and each of these pieces is called share. If a corporation issues 100 shares with $1 each, the total net worth of the corporation is 100x$1=$100.
Can I change share price in future?
For simplicity of corporate filing, most people set up $1 share price in the beginning. Eventually, the share price and share numbers could be increased.
What is class A and B shares?
A corporation's stock are split into shares. Those who own the shares, are in fact the owners of the corporation. Therefore, to make a classification of owners, shares are classified. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights.

What does shareholder mean?
In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of number of shares, the single shareholder owns 100% of the shares.
How to set up share class?
A corporation has 2 shareholders: John and Mike.
Case 1: Both owners have rights to vote: Assign class A to both.
Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
How to set up share number?
Share number cannot be in decimal point.
Case 1: John, Mike and Ali own same percentage: Assign exact same number to each.
Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali.
Case 3: John owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to John, 49 to Mike and 49 to Ali.
Can I change share details in future?
Yes. You can change any time share price, share number and shareholders.

Why Is the Company Key Important?
The company key acts as a digital signature that secures your corporation’s online presence and prevents unauthorized access. It verifies the company’s identity and allows only authorized personnel to access government filing services. The company key is essential for submitting initial returns, annual returns, and notices of change. Getting the company key together with your incorporation package is convenient and cost-effective since the process is simple and quick.
What Is a CRA Business Number?
A Business Number (BN) is a unique nine-digit identifier assigned by the Canada Revenue Agency (CRA). It streamlines interactions between businesses and federal, provincial, and municipal governments. Every corporation is required to have its own business number.
What is Corporate tax ID
Corporations must report all income and expenses to the CRA. The Corporate Tax ID (also called RC0001) is the identifier used for this purpose. Every corporation must obtain a Corporate Tax ID from the CRA.

Why official email is needed?
Company's official email is added to the company profile during filing the initial return. Your corporation's notifications, warning and messages goes directly to this email address. If you need to reset your company key at any time, the reset code will be sent to this email.
What is an officer's role?
The corporation's officers (President, CEO, VP, Secretary etc.) manage the business's daily operations, and in their different roles they are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
Can one individual be in multiple roles?
Most corporations, in the beginning, assign a single individual in multiple roles (director, incorporator, officer and shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
What are the usual positions/designations?
Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual of the corporation. The next roles are VP, treasurer, secretary, administrative assistant etc.

Who needs a GST/HST account?
If you sell products and services in Canada and collect GST/HST from your Customers, then GST/HST Account Number is Required. Customer's invoice or receipt must show the HST number. Unable to collect HST may cause penalty by CRA.
Who needs a payroll account?
If you hire Employees including yourself, then you need a Payroll Account Number. If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA 'income splitting'. Please note, this is not a payroll service, rather the initial set up of a payroll account with CRA.
What is import account?
If your business involves importing physical goods, it is required. The government uses this account to process the customs clearance.
What is export account?
If your business involves exporting physical goods, it is required. The government uses this account to process the customs clearance.
Do I need WSIB registration?
Registering with WorkSafeBC (WSBC) is required for most businesses in BC within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WSBC based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WSBC anyways for protection to their workers. WSBC registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.

What is share certificate?
Share certificates are legal and official proof of ownership of a corporation. Bank may ask to show it to open a bank account. Most people choose 5 share certificates to save costs; some choose 10 or 20. It includes blank certificates in case you want to add spouse, child or friend as shareholder in future.
Do I need a corporate seal?
The company seal, is a tool used to stamp or emboss your company's important documents in order to show the document is certified by, and agreed upon by, the Board of Directors of the company. Commonly used for:
  1. employment and vendor contracts
  2. minutes from Board of Directors meetings
  3. leases
  4. To be granted for bank loans or mortgages
  5. any contracts or agreements

What is required to incorporate my business?
  1. Choose a Business Name: Your business name must be unique and distinguishable from other registered business names in bc. You have the option to choose your own name or have the government assign you a numbered name. If you are registering a named corporation, you will need a NUANS report (Purchasable through our incorporation packages). If we find any issues with the proposed name we will guide you and suggest possible names that would be viable for the incorporation.
  2. Incorporators, Directors, Officers, and Shareholders: In the process of incorporation, you must determine the directors, officers and their respective roles, and the shareholders of the corporation. At least one person is required to serve as an incorporator, director, and shareholder, and it’s possible for a single individual to occupy all three positions.   3. Registered Office Address: Every business is required to have a registered office address, which could be either a commercial or a residential location. If you do not have an accessible address in bc, our Address & Mail Forwarding Service is available for purchase (Only available for registration purposes).
  4. Initial Return Filing: All corporations in bc are required to submit their initial return within 60 days following their incorporation. If this return is not filed, the corporation will be deemed non-compliant with the corporate registry. This non-compliance could lead to the government dissolving the corporation.
What are the roles in a corporation?
  • Incorporators: Incorporators are the individuals who are responsible for the process of incorporation. They file the necessary paperwork with the appropriate government agency to legally form the corporation. In many cases, the incorporator can be an attorney or a service company that specializes in incorporations. Once the corporation is formed, the incorporator’s role is typically complete.
  • Directors: The board of directors is a group of individuals elected by the shareholders to oversee the management of the corporation. They make high-level decisions and set the strategic direction of the company. Directors are responsible for appointing officers and they have a fiduciary duty to protect the interests of the shareholders.
  • Officers: Officers are individuals appointed by the board of directors to manage the day-to-day operations of the corporation. Common officer positions include the Chief Executive Officer (CEO), Chief Financial Officer (CFO), and Chief Operating Officer (COO). Officers are considered employees of the corporation and they carry out the strategies set by the board of directors.
  • Shareholders: Shareholders are the owners of the corporation. They hold shares of stock, which represent a portion of ownership in the corporation. Shareholders have the right to vote on major corporate decisions, such as electing directors, and they may benefit from the corporation’s profitability in the form of dividends.
Are there any residency requirements to incorporate in bc?

No, there are no residency requirements to incorporate in bc. Directors may be from other domestic or foreign jurisdictions. Incorporators must be individuals or other bc businesses.

What do I need to know after incorporating?
  1. Initial Return Filing: All corporations in bc are required to submit their initial return within 60 days following their incorporation.   2. Minute Book: Keeping a minute book is mandatory for all corporations. This will keep records of corporate documents such as your corporation’s Certificate of Incorporation, Articles of Incorporation, General Corporate Bylaws, Banking Bylaws, Minutes of company meetings, agreements and resolutions, Copies of the forms filed with the Ministry, Ledgers and Registers, Share Certificates.   3. Business Number: After incorporation, a CRA business number is generated for the corporation. We can obtain the business number for you through the service purchasable in all incorporation packages.
  4. CRA Program Accounts: The Canada Revenue Agency (CRA) has several program accounts that businesses may need to register for, depending on their specific operations. Here are the six major CRA program accounts:
    • Corporate Income Tax (RC): This account is required if your business is incorporated.
    • Goods and Services Tax/Harmonized Sales Tax (RT): This account is needed if your business collects GST/HST.
    • Payroll Deductions (RP): If your business pays employees, you’ll need to register for this account.
    • Import-Export (RM): If your business imports goods or services abroad, you’ll need this account.
    • Import-Export (RX): If your business sells goods or services abroad, you’ll need this account.
    • Registered Charity (RR): If your business has intent to become a charity organization, you’ll need this account.
  5. Additional Permits & Licences: After incorporating your business, you may need to obtain additional permits and licenses based on the nature of your operations. These are typically obtained through your local city hall or municipal office.
What is required to maintain my corporation?
  • Minute Book & Corporate Records: It’s essential that your corporation’s minute book is consistently updated to reflect any amendments, resolutions, and filings that occur.
  • Annual Returns: An annual return needs to be filed with Service bc yearly, with the due date being the anniversary of the corporation’s incorporation. Additionally, if your corporation is registered in other provinces and/or territories, you are also required to submit annual returns for those jurisdictions. These filings are different from the filings that are needed to be done with the CRA.
  • Tax Filings: Financial tax filings must be completed for each financial period with the CRA. These filings are different from the filings that are needed to be done with Service bc.
  • Obtain & Renew Necessary Licenses and Permits: Obtain the renew necessary licenses and permits for your business operations.
  • Maintain Compliance with Employment Standards: If your corporation has employees it must maintain compliance with a wide range of ongoing obligations under accessibility, employment standards, health and safety, human rights, and pay equity laws.

These Terms and Conditions constitute a legally binding Agreement between Business Registration Center and all its Users.

If you access and/or use our Website, it means that you have read, understood, and agreed to be bound by these Terms and Conditions and other applicable laws, statutes and regulations. If you do not agree with all these legal terms, you may not access our Website.

Changes to the Terms and Conditions

The Company reserves the right to revise and amend these Terms and Conditions at our discretion without any previous notice. All changes are active as soon as we post them on our Website, and it is the Users’ responsibility to review the Website periodically and stay informed of any changes.

The Company reserves the right, in our sole discretion, to make changes, modifications or delete these Legal Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. At all times it is our priority to distribute our products and services according to the laws and regulations of any country or jurisdiction. However, it is your responsibility as User, to ensure that the use of this Website and our services comply with the laws and regulations of your country or jurisdiction.

Business Registration Center is a private company that provides business registration services. We are not a government agency and are not affiliated with, endorsed by, or connected to any federal, provincial, or municipal government. Our services involve preparing and submitting documents to government agencies on your behalf, for which we charge service fees separate from any government fees.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Our Intellectual Property Rights

The materials we use on this Website, including all content, features, illustrations, images, icons, logos, etc. are intellectual property of Business Registration Center. The Company’s intellectual property is protected by domestic and international copyright law, trademark and other intellectual property laws.

Our Terms of Use allow you to use our materials for your own business purposes or, if you are a professional intermediary, on behalf of your clients. You are authorized to print or download pages from the Website for these purposes, as long as you follow this Agreement with our Company.

You are NOT allowed to make modifications of any material from our Website, resell or redistribute our content, or use our materials to offer competing services.

3. USE OF SERVICES AND PRODUCTS

Our services and products are intended for direct use by the purchasing party or, where the purchasing party is a professional intermediary (such as a lawyer, accountant, or business consultant), for use on behalf of the intermediary’s clients. Subject to your compliance with these Legal Terms, you may use our Website, services, and products, but you are not permitted to resell, white-label, rebrand, or redistribute our services as your own, or to copy, reproduce, or republish our content without our prior written consent.

Professional Intermediaries: Lawyers, accountants, business consultants, and other professionals may purchase our services on behalf of their clients. In such cases, the professional intermediary is the customer of record and is responsible for payment, communication, and compliance with these Terms and Conditions. The intermediary is responsible for ensuring their client provides accurate information and understands that Business Registration Center‘s contractual relationship is with the intermediary, not the end client.

Prohibited Uses: You may not resell, white-label, rebrand, or otherwise redistribute our services as if they were your own offerings. You may not use our services to operate a competing incorporation or business registration service. Violation of these restrictions constitutes a material breach of these Terms and Conditions.

By using our Website, services or products, you agree that you will use our Website only for lawful purposes and according to our Terms and Conditions. You further agree that you will not violate any laws or regulations; infringe on the rights of others; attempt to gain unauthorized access to our systems; use our Services to distribute harmful or illegal content.

4. USERS REPRESENTATIONS

By using the Services, you indicate and certify that:

  • All the information you provide to us is true, correct, present and complete.
  • You will inform us immediately if there is any change in your information.
  • You have the legal age and capacity to enter into this Agreement and agree to adhere to these Legal Terms.
  • You will only use our Website and Services for legal and authorized purposes.
  • You will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your order and refuse any current or future use of our Services or any portion thereof.

5. USERS RESTRICTIONS

By using this Website, you expressly agree and acknowledge that you are solely responsible for the activities that occur when you use our Site or Services.

You are not allowed to transmit or post any content that is unlawful, offensive, threatening, defamatory or obscene.

Business Registration Center reserves the right to determine whether or not any content is appropriate and complies with these Terms and Conditions.

6. USERS IDENTITY VERIFICATION AND AUTHORIZATION FOR PAYMENT

Business Registration Center follows the standard rules of Identity Verification according to Canadian law including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business, etc.

In those circumstances, Business Registration Center will not process an order or offer a service, until a successful Identity Verification of the payer is completed and Consent of Authorization for the payment have been obtained.

Furthermore, if there is a requirement regarding a payment clearance from the government or another agency, our company will also require the payer to send Identity Verification and Consent Authorization.

7. USERS DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services.

Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

7.1 Data Retention

Business Registration Center retains customer information for varying periods based on the nature of the data and applicable legal requirements. Our retention schedule is as follows:

  • Financial Records: We retain billing information and credit card transaction records for a period of six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.
  • Order Documentation: Documents collected or generated in connection with any orders, including government forms, incorporation documents, and related materials, are available in digital form at no additional charge for up to ninety (90) days following the completion of the order.
  • After this 90-day period, document requests fall outside the scope of the original service. If you require assistance retrieving documents after this time, a new service request and applicable fees will apply.

8. PRODUCTS AND SERVICES

At Business Registration Center we are committed to delivering excellent customer service and products to our customers. Our Company prides itself on getting our customers satisfaction with our services and products delivered.

We make every effort to display with accuracy the features, specifications, colours and details of the products available on the Website. However, we cannot certify that all the information provided on our Website is correct, complete or free of errors.

Our products and services are subject to availability, and we cannot assure that the items or products will be available. We reserve the right to discontinue any products or services on our Website, at any time for any reason. Prices for all products are subject to change.

8.1 Address Service

Service Description

The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Business Registration Center solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.

Service Agreement Required

To activate the Address Service, Users must execute a separate Address Service Agreement with Business Registration Center. This Agreement contains additional terms and conditions specific to the Address Service and constitutes Business Registration Center’s formal consent for the User to utilize the provided address. The Address Service shall not be deemed active until such Agreement is fully executed by both parties.

Mail Scanning Service

  • Only official government correspondence will be accepted, scanned, and forwarded digitally to the User.
  • All other mail, including but not limited to bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender.
  • Business Registration Center assumes no liability for refused mail or any consequences arising from such refusal.

Subscription and Renewal

The Address Service is provided on an annual subscription basis. Users must renew the Service each year to maintain an active address. The renewal fee must be paid on or before the expiry date to ensure continuous service.

Non-Payment Consequences

  • The outstanding amount will be sent to a collection agency.
  • Business Registration Center will notify the relevant government authorities that the business is using the address without authorization.
  • The User will be notified via phone and email before such actions are taken.
  • The User may face legal consequences for unauthorized use of the address.

8.2 Agent Service

Service Description

The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. This Service enables Users who are not residents of the required jurisdiction to register their business by appointing Business Registration Center’s designated agent as their representative solely for registration and statutory purposes.

Service Agreement Required

The Agent Service requires execution of a separate Agent Service Agreement between the User and Business Registration Center. This Agreement contains additional terms and conditions governing the agent relationship and includes Business Registration Center’s consent to act as the User’s agent for service. The Agent Service shall not commence until the Agent Service Agreement is fully executed by both parties.

Scope and Limitations

  • The Agent Service is strictly limited to meeting registration requirements and receiving official government correspondence.
  • The appointed agent does not have authority to conduct business operations on behalf of the User.
  • The appointed agent does not have authority to enter into contracts or agreements.
  • The appointed agent does not have authority to make business decisions.
  • The appointed agent does not have authority to represent the User in any capacity beyond statutory requirements.

Subscription Terms

The Agent Service operates under the same subscription model as the Address Service, requiring annual renewal and payment. All terms regarding renewal, non-payment consequences, and notification procedures outlined in Section 8.1 shall apply equally to the Agent Service.

8.3 Government Information and Documentation Fees

Business Number

Upon successful registration, a Business Number is typically generated automatically by the government. While this number is issued at no cost by the government, Business Registration Center charges a service fee to retrieve, process, and securely deliver this information to the User.

Company Key Ontario and Similar Identifiers

In Ontario, a Company Key is automatically generated upon incorporation. Other jurisdictions may issue similar codes, identifiers, or passwords. While these are generated at no cost by the government, Business Registration Center charges a service fee for retrieving these credentials from government systems, securing and safeguarding this sensitive information, delivering the information through secure channels, and providing guidance on proper usage and security.

Fee Justification

These service fees compensate Business Registration Center for the time, expertise, and secure systems required to obtain and deliver government-issued information that Users may otherwise need to retrieve themselves through government channels.

8.4 Instant and Automated Products

Business Registration Center may offer certain products or services that are generated, retrieved, processed, or delivered automatically or near-instantly through the Website, including through third-party systems, APIs, or government registry data sources. These products may include, where offered, instant name searches, Nuans reports, document retrievals, or other automated products. Because processing begins immediately upon order placement, these products may be non-refundable as set out in Section 12.

9. PURCHASES AND PAYMENT

The prices of the services or products on this Website are delivered in Canadian currency CAD.

By ordering our Services or Products you agree to provide your current, complete, and accurate information for all purchases, such as your email address, payment method, credit card information, etc.

Once we receive your payment information, we will email you to confirm your transaction has been processed. You further agree to make all the payments for your purchase and any applicable shipping charges, if applicable.

By placing an order on our Website, you accept that we may make errors or mistakes in the orders and will make the corrections to the pricing accordingly.

We reserve the right to reject any order placed on our Website if we consider there is a discrepancy, a possible scam or does not meet our verification requirements.

Billing Corrections: In the event of a billing error by Business Registration Center, such as a duplicate charge or incorrect amount charged, we will correct the error by reversing or adjusting the charge. Billing corrections are administrative adjustments and are handled separately from our Refund Policy.

Contract Formation: A binding contract between you and Business Registration Center is formed at the moment your payment is successfully processed. By completing a purchase, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, including our Refund Policy. Order confirmation emails are provided for your records and do not affect the timing of contract formation.

10. SERVICE TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use our Services or products.

We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services, including blocking certain IP addresses, to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.

We may terminate your use or participation in the Services or products and any content or information that you posted at any time, without warning, in our sole discretion.

The Agreement of services or our products starts the day you request our services or products, and it can expire or terminate, depending on the nature of the product or service we provided.

Termination

An agreement terminates when the parties do not reach the end of the agreement but one of them desires to terminate it because the other party violated the provisions of this Policy. Any refund in such circumstances shall be subject to Section 12 (Refund Policy), and fees designated as non-refundable in that section shall not be refunded.

  • If you place an order with us but you violate our Agreement.
  • If we cannot verify your identity.
  • If we believe there is any suspicious activity on your part.
  • If you do not provide the documentation we request from you in a timely manner.

Expiration

When an agreement expires, it is the “end” of the contract and there cannot be a refund, as the agreement has already expired. The service is valid for a certain period and once the time arrives, the agreement expires.

11. SERVICE LIMITATION AND EXPIRATION

11.1 Suspension and Termination

In the case that Business Registration Center notices any issue with an order, and there are any possible risks, consistent and material violations of policies, Business Registration Center reserves the right to suspend or terminate the service if it is mandatory by law.

11.2 Abandoned Orders

In the event that Business Registration Center requires additional information or documentation from a User to complete an order, and the User fails to respond to our communication attempts, the following protocol shall apply:

Communication Timeline

When we require a response from the User to proceed with an order, Business Registration Center will contact the User via phone and email. If no response is received within seven (7) days of the initial contact, we will send a second reminder. If the User still fails to respond, a third and final reminder will be sent, which will include a deadline of an additional seven (7) days for the User to respond.

Order Abandonment

If the User fails to respond within twenty-eight (28) days from our initial contact attempt, the order shall be deemed abandoned and Business Registration Center will close the order. No refunds will be issued for abandoned orders, as the abandonment is due to the User’s failure to provide necessary cooperation to complete the Services.

Reactivation

Should the User contact Business Registration Center after an order has been deemed abandoned, we reserve the right, in our sole discretion, to refuse reactivation of the order. If we agree to reactivate an abandoned order, the User may be required to pay a reactivation fee in addition to any outstanding amounts before Services can resume from the point of abandonment.

12. REFUND POLICY

Thank you for choosing Business Registration Center. We strive to ensure that you are fully satisfied with our services and products. Before placing an order with us, please review this Refund Policy carefully.
