For example, in "Mike Construction," 'Mike' serves as the distinctive element and 'Construction' acts as the descriptive element. Please provide your ideal name, and if it doesn't meet the criteria, we will guide you in finding a suitable alternative.
  • Which Legal Ending to choose?
    Every corporation is required to have a legal suffix following its name. You can select the option that best complements your business name for appearance purposes.
  • What is a valid NUANS report?
    NUANS stands for Newly Upgraded Automated Name Search. It is a federal name search system used to check for existing business names that may be similar to yours, helping to avoid potential conflicts.   • Why I need Nuans & Name Approval?
    Before incorporating a named federal corporation, the name must receive pre-approval from Corporations Canada. To submit a name pre-approval request, a valid NUANS report is required. Thus, the process involves three steps: first, obtaining a valid NUANS report for reservation. second, securing the name pre-approval; and third, registering the corporation.
  • What is required for the Name Approval?
    The name must be submitted to the Government for approval. This process includes:
    • When submitting a name request application to the government, you can include up to three choices of names in a single submission. If you do not have three different names, you may repeat the same name for all three options.
    • The government will review your submitted name request to check the availability of your proposed name and assess its validity for registration. They will ensure that the name complies with applicable regulations and does not conflict with existing business names.
    • After the government processes your name submission, you will receive a Name Request Number (NR number). This number is valid for 56 days and must be used for any further actions regarding your corporation's name registration within that timeframe.

    Yes, the requested date for incorporation must be either today or set for a date within the next 30 days. It cannot be a past date.

  • A corporation is required to have a physical registered office address in this province. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

  • How to change the address in future?
    The registered address can be updated in the future by paying the necessary filing fees. Many corporations begin with a residential address if they do not have a commercial rental address at the time of registration, but they often change it later when needed.
  • What is Address Service?
    Our address service is an annual mail and scanning service designed for corporations that do not have a local physical address in this province. This service can be renewed each year for a similar fee. Any corporation-related documents we receive will be scanned and emailed to you for your convenience.
  • Extra-Provincial Registration (Mandatory)

  • Federal Corporations are required to register in the province in which they will conduct business and where the registered office is located. If you are planning to expand your business to other jurisdictions and provinces in the future then you will have to registering in those places too at that time. Moreover, extra-provincial registration documents are usually required for opening bank accounts, getting city licences and other business and official procedures.

  • Why an extra-provincial registration is required?
    All federal corporations are required to register with the province where their head office or registered office is situated. This process, known as extra-provincial registration, is mandatory. It can be completed concurrently with federal incorporation or at a later date, but it must be done before commencing any business activities.

  • What is company bylaws?
    Corporate bylaws, also referred to as a company constitution, are the rules, rights, regulations, and policies established by a corporation. These bylaws are typically prepared by a corporate lawyer to ensure that no rules or clauses conflict with the Provincial Corporations Act or the Canada Business Corporations Act (CBCA).
  • What is corporate minutes?
    Corporate Minutes refer to the compilation of corporate records, including the articles of incorporation, that are made available for inspection by anyone or during an audit. Corporate Bylaws and Minutes may also be required by certain banks to open an account.
  • Benefits of doing all in one package
    Yes, the expense is tax-deductible. When you incorporate a company, the expenses are categorized as business development expenses, which are tax-deductible. Any expenditures incurred after incorporation are classified as operating expenses, which are not tax-deductible. Furthermore, handling this separately later requires a corporate lawyer, resulting in a significant increase in cost and time (which is also not tax-deductible).

  • What is share and why need it?
    Since a corporation is a separate legal entity from its owners, it can only be owned by holding its shares. The corporation's assets and equity are divided into portions, each of which is referred to as a share. For example, if a corporation issues 100 shares valued at $1 each, the total net worth of the corporation would be 100 x $1 = $100.
  • Can I change share price in future?
    To simplify corporate filing, most people initially set a share price of $1. Over time, the share price and the number of shares can be increased as needed.
  • What is class A and B shares?
    A corporation's stock is divided into shares, and those who own these shares are, in fact, the owners of the corporation. To categorize the owners, shares are classified accordingly. Owners of Class A common voting shares have the right to vote on changes to the corporation's policies and rules, while owners of Class B common non-voting shares do not possess such rights.

  • What does shareholder mean?
    In simple terms, shareholders are the owners of a corporation. If a corporation has only one shareholder, that single shareholder owns 100% of the shares, regardless of how many shares there are.
  • How to set up share class?
    A corporation has 2 shareholders: John and Mike.
    Case 1: Both owners have rights to vote: Assign class A to both.
    Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
  • How to set up share number?
    Share number cannot be in decimal point.
    Case 1: John, Mike, and Ali each own the same percentage of the corporation. For example, if the total number of shares is 300, each would own 100 shares, resulting in an equal ownership of one-third (33.33%) of the corporation.
    Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali.
    Case 3: John owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to John, 49 to Mike and 49 to Ali.

  • What is CRA Business Number?
    The business number (BN) is a nine-digit number assigned by the Canadian Revenue Agency (CRA) and serves as a common client identifier for businesses, streamlining their interactions with federal, provincial, and municipal governments. Each corporation must have its own unique business number.
  • What is Corporate tax ID
    Corporations are required to report all income and expenses to the Canada Revenue Agency (CRA). A Corporate Tax ID, also known as RC 0001, is used for this purpose. Every corporation must obtain a Corporate Tax ID from the CRA.

  • Why official email is needed?
    Company's official email is added to the company profile. Your corporation's notifications, warning and messages goes directly to this email address. If you need to reset your company key at any time, the reset code will be sent to this email.
  • What is an officer's role?
    The corporation's officers (such as the President, CEO, Vice President, Secretary, etc.) are responsible for managing the daily operations of the business. In their respective roles, they are granted legal authority to act on behalf of the corporation in nearly all lawful business-related activities.
  • Can one individual be in multiple roles?
    In the early stages, most corporations assign a single individual to multiple roles, such as director, incorporator, officer, and shareholder. As the company grows, these roles can be redistributed among other individuals to better manage the organization.
  • What are the usual positions/designations?
    Typically, the titles 'President' or 'CEO' are assigned to the primary director or the most significant individual in the corporation. The subsequent roles may include Vice President (VP), Treasurer, Secretary, Administrative Assistant, and others.

  • Who needs a GST/HST account?
    If you sell products and services in Canada and collect GST/HST from your customers, you are required to obtain a GST/HST Account Number. The customer's invoice or receipt must display the HST number. Failing to collect HST may result in penalties from the Canada Revenue Agency (CRA).
  • Who needs a payroll account?
    If you hire employees, including yourself, you will need a Payroll Account Number. If you do not have any employees, you can process your own salary or that of a family member through the payroll account to take advantage of CRA's 'income splitting' strategy. Please note that this refers to the initial setup of a payroll account with the CRA and is not a payroll service.
  • What is import account?
    If your business involves importing physical goods, obtaining this account is required. The government uses this account to facilitate customs clearance.
  • What is export account?
    If your business involves exporting physical goods, obtaining this account is necessary. The government uses this account to manage the customs clearance process.

  • Account registration with Workers Compensation Board is mandatory in your province, if you hire now or plan to hire employee in future.

  • You must register to collect PST if you you sell or lease taxable goods, or provide software or taxable services. A PST account also required to claim any paid PST by the company.
  • You must register to collect QST if you you sell or lease taxable goods, or provide software or taxable services in Quebec. A QST account also required to claim any paid QST by the company.

  • What is Workers' Compensation Account?
    • The Workers' Compensation Board (WCB) is referred to as WSIB in Ontario, WSBC in British Columbia, CNESST in Quebec, WSNB in New Brunswick, WorkPlaceNL in Newfoundland, and WSCC in the Northwest Territories and Nunavut. A small business must register for an account if it plans to hire any employees now or in the future. Most employers are required to register with the Workers' Compensation Board to provide protection for their workers.

  • What is share certificate?
    Share certificates are legal and official proof of ownership of a corporation. Bank may require to show it to open a bank account. Most people choose 5 share certificates to save on costs, some choose 10 or 20. That includes blank certificates in case you want to add spouse, child or friend as shareholder in the future.
  • Do I need a corporate seal?
    The company seal is a tool used to stamp or emboss important documents, indicating that they have been certified and approved by the Board of Directors of the company. It is commonly used for:

What is required to incorporate my Federal company?
  1. Choose a Business Name: Your business name must be unique and distinguishable from other registered business names across Canada. You have the option to choose your own name or have the government assign you a numbered name. If you are registering a named corporation, you will need a NUANS report (Purchasable through our incorporation packages). Be aware that depending on your incorporation type, you might need to use certain names that follow rules set by the relevant authorities. If we find any issues with the proposed name we will guide you and suggest possible names that would be viable for the incorporation.
  2. Incorporators, Directors, Officers, and Shareholders: In the process of incorporation, you must determine the directors, officers and their respective roles, and the shareholders of the corporation. At least one person is required to serve as an incorporator, director, and shareholder, and it’s possible for a single individual to occupy all three positions. Officers are viewed as employees within the corporation. Keep in mind Not-For-Profits and Co-Ops require a minimum of 3 directors to operate.

Extra-provincial registration is necessary for several reasons:

  • Legal Compliance: Each province or territory has its own laws and regulations governing business activities. By undergoing extra-provincial registration, corporations ensure compliance with the specific requirements of the jurisdiction where they plan to operate.
  • Protection of Rights: Extra-provincial registration allows corporations to protect their legal rights and access the benefits and protections offered by the laws of the additional jurisdiction. However, it is your responsibility as User, to ensure that the use of this Website and our services comply with the laws and regulations of your country or jurisdiction.

Business Registration Center is a private company that provides business registration services. We are not a government agency and are not affiliated with, endorsed by, or connected to any federal, provincial, or municipal government. Our services involve preparing and submitting documents to government agencies on your behalf, for which we charge service fees separate from any government fees.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Our Intellectual Property Rights

The materials we use on this Website, including all content, features, illustrations, images, icons, logos, etc. are intellectual property of Business Registration Center. The Company’s intellectual property is protected by domestic and international copyright law, trademark and other intellectual property laws.

3. USE OF SERVICES AND PRODUCTS

Our services and products are intended for direct use by the purchasing party or, where the purchasing party is a professional intermediary (such as a lawyer, accountant, or business consultant), for use on behalf of the intermediary’s clients. Subject to your compliance with these Legal Terms, you may use our Website, services, and products, but you are not permitted to resell, white-label, rebrand, or redistribute our services as your own, or to copy, reproduce, or republish our content without our prior written consent.

Professional Intermediaries: Lawyers, accountants, business consultants, and other professionals may purchase our services on behalf of their clients. In such cases, the professional intermediary is the customer of record and is responsible for payment, communication, and compliance with these Terms and Conditions. The intermediary is responsible for ensuring their client provides accurate information and understands that Business Registration Center‘s contractual relationship is with the intermediary, not the end client.

Prohibited Uses: You may not resell, white-label, rebrand, or otherwise redistribute our services as if they were your own offerings. You may not use our services to operate a competing incorporation or business registration service. Violation of these restrictions constitutes a material breach of these Terms and Conditions.

By using our Website, services or products, you agree that you will use our Website only for lawful purposes and according to our Terms and Conditions. You further agree that you will not violate any laws or regulations; infringe on the rights of others; attempt to gain unauthorized access to our systems; use our Services to distribute harmful or illegal content.

4. USERS REPRESENTATIONS

By using the Services, you indicate and certify that:

  • All the information you provide to us is true, correct, present and complete.
  • You will inform us immediately if there is any change in your information.
  • You have the legal age and capacity to enter into this Agreement and agree to adhere to these Legal Terms.
  • You will only use our Website and Services for legal and authorized purposes.
  • You will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your order and refuse any current or future use of our Services or any portion thereof.

5. USERS RESTRICTIONS

By using this Website, you expressly agree and acknowledge that you are solely responsible for the activities that occur when you use our Site or Services.

You are not allowed to transmit or post any content that is unlawful, offensive, threatening, defamatory or obscene.

Business Registration Center reserves the right to determine whether or not any content is appropriate and complies with these Terms and Conditions.

6. USERS IDENTITY VERIFICATION AND AUTHORIZATION FOR PAYMENT

Business Registration Center follows the standard rules of Identity Verification according to Canadian law including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable anti-money laundering regulations. We are required to verify the identity of a payer if they are not the Director, Incorporator, or partner of the business, etc.

In those circumstances, Business Registration Center will not process an order or offer a service, until a successful Identity Verification of the payer is completed and Consent of Authorization for the payment have been obtained.

Furthermore, if there is a requirement regarding a payment clearance from the government or another agency, our company will also require the payer to send Identity Verification and Consent Authorization.

7. USERS DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services.

Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

7.1 Data Retention

Business Registration Center retains customer information for varying periods based on the nature of the data and applicable legal requirements. Our retention schedule is as follows:

  • Financial Records: We retain billing information and credit card transaction records for a period of six (6) years from the date of transaction to comply with tax and accounting requirements under Canadian law.
  • Order Documentation: Documents collected or generated in connection with any orders, including government forms, incorporation documents, and related materials, are available in digital form at no additional charge for up to ninety (90) days following the completion of the order.
  • After this 90-day period, document requests fall outside the scope of the original service. If you require assistance retrieving documents after this time, a new service request and applicable fees will apply.

8. PRODUCTS AND SERVICES

At Business Registration Center we are committed to delivering excellent customer service and products to our customers. Our Company prides itself on getting our customers satisfaction with our services and products delivered.

We make every effort to display with accuracy the features, specifications, colours and details of the products available on the Website. However, we cannot certify that all the information provided on our Website is correct, complete or free of errors.

Our products and services are subject to availability, and we cannot assure that the items or products will be available. We reserve the right to discontinue any products or services on our Website, at any time for any reason. Prices for all products are subject to change.

8.1 Address Service

Service Description

The Address Service enables Users who do not maintain a physical address in a required jurisdiction to utilize an address provided by Business Registration Center solely for business registration purposes. This Service is strictly limited to satisfying registration requirements and shall not be used for business operations.

Service Agreement Required

To activate the Address Service, Users must execute a separate Address Service Agreement with Business Registration Center. This Agreement contains additional terms and conditions specific to the Address Service and constitutes Business Registration Center’s formal consent for the User to utilize the provided address. The Address Service shall not be deemed active until such Agreement is fully executed by both parties.

Mail Scanning Service

  • Only official government correspondence will be accepted, scanned, and forwarded digitally to the User.
  • All other mail, including but not limited to bank statements, personal correspondence, marketing materials, and packages, will be refused and returned to sender.
  • Business Registration Center assumes no liability for refused mail or any consequences arising from such refusal.

Subscription and Renewal

The Address Service is provided on an annual subscription basis. Users must renew the Service each year to maintain an active address. The renewal fee must be paid on or before the expiry date to ensure continuous service.

Non-Payment Consequences

  • The outstanding amount will be sent to a collection agency.
  • Business Registration Center will notify the relevant government authorities that the business is using the address without authorization.
  • The User will be notified via phone and email before such actions are taken.
  • The User may face legal consequences for unauthorized use of the address.

8.2 Agent Service

Service Description

The Agent Service satisfies governmental requirements in certain jurisdictions that mandate a local resident act as a representative for businesses. This Service enables Users who are not residents of the required jurisdiction to register their business by appointing Business Registration Center’s designated agent as their representative solely for registration and statutory purposes.

Service Agreement Required

The Agent Service requires execution of a separate Agent Service Agreement between the User and Business Registration Center. This Agreement contains additional terms and conditions governing the agent relationship and includes Business Registration Center’s consent to act as the User’s agent for service. The Agent Service shall not commence until the Agent Service Agreement is fully executed by both parties.

Scope and Limitations

  • The Agent Service is strictly limited to meeting registration requirements and receiving official government correspondence.
  • The appointed agent does not have authority to conduct business operations on behalf of the User.
  • The appointed agent does not have authority to enter into contracts or agreements.
  • The appointed agent does not have authority to make business decisions.
  • The appointed agent does not have authority to represent the User in any capacity beyond statutory requirements.

Subscription Terms

The Agent Service operates under the same subscription model as the Address Service, requiring annual renewal and payment. All terms regarding renewal, non-payment consequences, and notification procedures outlined in Section 8.1 shall apply equally to the Agent Service.

8.3 Government Information and Documentation Fees

Business Number

Upon successful registration, a Business Number is typically generated automatically by the government. While this number is issued at no cost by the government, Business Registration Center charges a service fee to retrieve, process, and securely deliver this information to the User.

Company Key Ontario and Similar Identifiers

In Ontario, a Company Key is automatically generated upon incorporation. Other jurisdictions may issue similar codes, identifiers, or passwords. While these are generated at no cost by the government, Business Registration Center charges a service fee for retrieving these credentials from government systems, securing and safeguarding this sensitive information, delivering the information through secure channels, and providing guidance on proper usage and security.

Fee Justification

These service fees compensate Business Registration Center for the time, expertise, and secure systems required to obtain and deliver government-issued information that Users may otherwise need to retrieve themselves through government channels.

8.4 Instant and Automated Products

Business Registration Center may offer certain products or services that are generated, retrieved, processed, or delivered automatically or near-instantly through the Website, including through third-party systems, APIs, or government registry data sources. These products may include, where offered, instant name searches, Nuans reports, document retrievals, or other automated products. Because processing begins immediately upon order placement, these products may be non-refundable as set out in Section 12.

9. PURCHASES AND PAYMENT

The prices of the services or products on this Website are delivered in Canadian currency CAD.

Billing Corrections: In the event of a billing error by Business Registration Center, such as a duplicate charge or incorrect amount charged, we will correct the error by reversing or adjusting the charge. Billing corrections are administrative adjustments and are handled separately from our Refund Policy.

Contract Formation: A binding contract between you and Business Registration Center is formed at the moment your payment is successfully processed. By completing a purchase, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, including our Refund Policy. Order confirmation emails are provided for your records and do not affect the timing of contract formation.

10. SERVICE TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use our Services or products.

We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services, including blocking certain IP addresses, to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.

We may terminate your use or participation in the Services or products and any content or information that you posted at any time, without warning, in our sole discretion.

The Agreement of services or our products starts the day you request our services or products, and it can expire or terminate, depending on the nature of the product or service we provided.

Termination

An agreement terminates when the parties do not reach the end of the agreement but one of them desires to terminate it because the other party violated the provisions of this Policy. Any refund in such circumstances shall be subject to Section 12 (Refund Policy), and fees designated as non-refundable in that section shall not be refunded.

  • If you place an order with us but you violate our Agreement.

Expiration

When an agreement expires, it is the “end” of the contract and there cannot be a refund, as the agreement has already expired. The service is valid for a certain period and once the time arrives, the agreement expires.

11. SERVICE LIMITATION AND EXPIRATION

11.1 Suspension and Termination

In the case that Business Registration Center notices any issue with an order, and there are any possible risks, consistent and material violations of policies, Business Registration Center reserves the right to suspend or terminate the service if it is mandatory by law.

11.2 Abandoned Orders

In the event that Business Registration Center requires additional information or documentation from a User to complete an order, and the User fails to respond to our communication attempts, the following protocol shall apply:

Communication Timeline

When we require a response from the User to proceed with an order, Business Registration Center will contact the User via phone and email. If no response is received within seven (7) days of the initial contact, we will send a second reminder. If the User still fails to respond, a third and final reminder will be sent, which will include a deadline of an additional seven (7) days for the User to respond.

Order Abandonment

If the User fails to respond within twenty-eight (28) days from our initial contact attempt, the order shall be deemed abandoned and Business Registration Center will close the order. No refunds will be issued for abandoned orders, as the abandonment is due to the User’s failure to provide necessary cooperation to complete the Services.

Reactivation

Should the User contact Business Registration Center after an order has been deemed abandoned, we reserve the right, in our sole discretion, to refuse reactivation of the order. If we agree to reactivate an abandoned order, the User may be required to pay a reactivation fee in addition to any outstanding amounts before Services can resume from the point of abandonment.
